1. Acceptance of Terms

By accessing pyramidions.com or engaging Pyramidion Solutions ("Pyramidion", "we", "us") for any service, you agree to be bound by these Terms of Service together with our Privacy Policy. If you do not agree, please do not use our website or services. These terms apply to visitors, prospective clients, active clients, and anyone interacting with content we publish.

2. Services We Provide

Pyramidion offers AI-powered software development services — including mobile app development for iOS and Android, cross-platform development, web application development, UI/UX design, AI integration, MVP and rapid prototyping, QA and testing, maintenance, and related consulting. The exact scope, timeline, deliverables, and price of any engagement are defined in a separate Statement of Work or proposal that we sign with you.

3. Engagement and Payment

Project engagements begin once a signed Statement of Work and initial payment are received. Unless agreed otherwise in writing, we invoice on a milestone basis with payment due within 14 days of each invoice. Late payments may attract interest at 1.5% per month or the maximum permitted by law, whichever is lower. We reserve the right to pause work on any engagement with overdue invoices.

4. Client Responsibilities

To deliver a successful project, we need timely access to the people, information, accounts, and approvals on your side — including content, branding assets, third-party credentials, and clear feedback within agreed review windows. Delays caused by missing inputs or extended approval cycles may extend the project timeline and, where they trigger rework, may result in change orders.

5. Change Orders and Scope Changes

We expect requirements to evolve. Material changes to scope, design, or technical approach beyond what is described in the Statement of Work are handled through a written change order that captures the new scope, the schedule impact, and any additional fees. We will not proceed with significant changes without your written approval.

6. Intellectual Property

On full payment of all amounts due under a Statement of Work, you own the bespoke source code, designs, and deliverables we create specifically for you. Pyramidion retains ownership of its pre-existing tools, libraries, internal frameworks, and AI prompts — and grants you a perpetual, royalty-free license to use them as embedded in your deliverables. Third-party components remain subject to their own licenses.

7. AI-Assisted Development Disclosure

Our delivery process uses AI coding assistants and automation tools to accelerate development. Every line of code produced with AI assistance is reviewed by a human engineer, tested, and held to the same quality standard as code we write by hand. You acknowledge that AI tooling is part of our standard workflow and consent to its use unless your engagement explicitly excludes it.

8. Confidentiality

Each party will keep the other's non-public business, technical, and product information confidential and use it only for purposes of the engagement. We can sign a separate Non-Disclosure Agreement before discussions begin, and our standard NDA is available on request. Confidentiality obligations survive the end of the engagement.

9. Warranties and Disclaimers

We warrant that the services will be performed in a professional and workmanlike manner. For 30 days after delivery of any milestone, we will fix defects in the deliverables that materially deviate from the agreed specification at no additional cost. Except as stated above, our services and website are provided "as is" and we disclaim all other warranties, express or implied, including fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law, Pyramidion's aggregate liability arising out of or related to your use of our website or services is limited to the fees actually paid by you to Pyramidion in the three months immediately preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or revenue.

11. Indemnification

You agree to indemnify and hold Pyramidion harmless from any claim arising out of (a) content, data, or materials you provide for us to use in your project; (b) your use of the deliverables in violation of applicable law; or (c) any third-party rights you fail to obtain or license before passing material to us. We will indemnify you against any third-party claim that deliverables we created infringe their copyright, trademark, or trade-secret rights.

12. Termination

Either party may terminate an engagement for material breach by the other party that is not cured within 15 days of written notice. You may terminate for convenience subject to payment for all work performed and committed costs up to the termination date. On termination, we will hand over completed deliverables and source materials for which payment has been received in full.

13. Acceptable Use of Our Website

You agree not to use pyramidions.com to violate any law, infringe intellectual-property rights, transmit malware, scrape or harvest data at scale, attempt unauthorized access, or interfere with the website's normal operation. We may suspend or block access if we reasonably suspect abuse.

14. Third-Party Content and Links

Our website may include links to third-party sites or content. We do not control those sites and are not responsible for their content, accuracy, or practices. Following an external link is at your own risk and subject to the third party's terms.

15. Governing Law and Disputes

These terms are governed by the laws of India for engagements signed by our India entity, and by the laws of Ontario, Canada for engagements signed by our Canada entity. Any dispute arising under these terms will be resolved in the competent courts of the relevant jurisdiction, except where a binding arbitration clause appears in the Statement of Work — in which case arbitration governs.

16. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will update the "Last updated" date above and, for material changes, provide a more prominent notice on the website. Your continued use of our website or services after a change constitutes acceptance of the revised terms.
